| Additional terms | ## VERITAS TRUE ARTIST PROGRAM — COMMISSION OPTIONS Approved True Artists may choose one of two commission options during registration: **8% CUSTOM BUILD CREDIT (DEFAULT):** Earn 8% of eligible referred guitar sales as credit toward a Veritas custom guitar. Credits are non-cash and nontransferable without written authorization. **5% CASH:** Earn 5% of eligible referred guitar sales, payable through PayPal under the Program Terms. Artists must enter CASH or BUILD CREDIT in the registration commission preference field. Veritas will assign the appropriate Refersion commission offer. Build Credit is the default until an alternative is approved and assigned. **Referral Attribution:** 60-day attribution window, subject to Refersion tracking rules. **Eligible Purchases:** Commissions are calculated on the full eligible guitar purchase price, excluding taxes, shipping, refunds, and nonqualifying charges. **$1,200 Custom Build Slots:** Standalone build-slot purchases do not independently earn commissions. When the associated guitar is completed and fully paid, commissions are calculated on the eligible full guitar price, including the build-slot payment, counted only once. **Cancellations and Refunds:** No commission is earned on canceled or incomplete guitar orders, even if Veritas retains a deposit. Refunded, reversed, or charged-back amounts are excluded. Previously issued commissions or credits may be adjusted or recovered as permitted by the Program Terms and applicable law. **When Commissions Are Earned:** Commissions become earned only after the qualifying guitar is completed, paid in full, and verified. Cash commissions are paid through PayPal within 90 days after guitar completion, subject to verification and the Program Terms. **Using Build Credit:** Earned credits may be applied toward an eligible Veritas custom guitar. Credits cannot be redeemed for cash or combined with other offers without approval. **Membership and Credit Expiration:** Earned, unused credits remain available during active membership. After membership ends, artists have 12 months to place an eligible guitar order using those credits. The guitar need not be completed within that period. Unused credits expire afterward, to the extent permitted by law. **Termination:** Pending commissions may be forfeited for material Program violations as provided in the Program Terms. Previously earned credits remain subject to the redemption rules. **Additional Benefits:** Active True Artists receive 15% off eligible Veritas custom guitar builds, subject to Program Terms. Customer cancellation and refund rights remain governed by the applicable customer purchase agreement. These commission provisions are a summary. The **Veritas True Artist Program Terms & Conditions, Version 2.0**, govern all eligibility, calculations, participation, cancellations, redemption, and termination requirements. |

VERITAS GUITARS
TRUE ARTIST PROGRAM — TERMS & CONDITIONS
Version 2.0 | Effective October 2026
1. Introduction and Acceptance
Welcome to the Veritas Guitars True Artist Program (the "Program"), operated by Veritas Guitars ("Veritas," "Company," "we," "us," or "our").
The Program is designed to establish meaningful relationships with musicians who share our commitment to craftsmanship, musical creativity, authenticity, and community.
These Terms & Conditions ("Agreement") govern participation in the Program.
By applying, accepting an invitation, completing a membership renewal, or otherwise expressly accepting these Terms, an individual or approved entity ("True Artist" or "Artist") agrees to comply with this Agreement.
Participation is subject to approval by Veritas. Submission of an application does not guarantee acceptance.
This Agreement applies prospectively from the date it is accepted by the Artist or otherwise becomes effective under applicable law. Previously earned compensation and existing contractual rights are not retroactively eliminated.
2. Program Eligibility
True Artists are selected based on factors that may include:
- Musical ability, experience, and creative activity.
- Alignment with Veritas's values and brand.
- Professionalism and positive community engagement.
- An authentic interest in Veritas guitars.
- An active musical or online presence.
- Willingness to participate meaningfully in the Program.
Applicants must provide accurate information and may be asked to supply social media profiles, musical background, contact information, and examples of their work.
Veritas reserves the right to approve or decline applications based on legitimate business considerations and applicable law.
Membership is personal to the approved Artist and may not be transferred without written authorization.
3. Independent Relationship
True Artists participate as independent promotional and referral partners.
Participation does not create an employment relationship, partnership, joint venture, franchise, or agency relationship between the Artist and Veritas.
Artists are not authorized to enter into contracts, make binding commitments, offer unapproved discounts, or otherwise act on behalf of Veritas.
Artists control their own creative activities and promotional methods, subject to this Agreement and applicable law.
Artists are responsible for their own taxes and reporting obligations. Veritas may request tax or payment information and issue required tax forms.
4. Artist Participation and Expectations
The True Artist Program is built around authentic engagement rather than mandatory advertising schedules.
To remain an active member, each Artist is expected to demonstrate some meaningful participation at least once per calendar quarter.
Meaningful participation may include:
- Sharing original music, performances, recordings, or videos featuring Veritas guitars.
- Creating or sharing relevant guitar-related content.
- Referring interested musicians or potential customers to Veritas.
- Participating in appropriate Veritas promotional opportunities.
- Sharing releases, tours, performances, or other artist milestones with Veritas.
- Collaborating with Veritas on approved content or community initiatives.
- Other meaningful activity mutually recognized by the Artist and Veritas.
There are no fixed monthly sales quotas or mandatory weekly posting schedules.
Veritas may periodically review participation and contact inactive Artists regarding their interest in continuing.
Failure to participate may affect renewal eligibility or lead to suspension or nonrenewal after reasonable communication.
Artists must represent Veritas professionally, communicate truthfully, and avoid misleading promotional claims.
5. True Artist Benefits
Approved, active True Artists may receive the following benefits, subject to eligibility and applicable restrictions.
A. Cash Referral Commission — 5%
Artists who select the cash reward option may earn a 5% commission on the eligible purchase price of a qualifying Veritas guitar sale.
Cash commissions are paid through PayPal.
B. Custom Build Credit — 8%
Artists who select the custom-build credit option may earn credit equal to 8% of the eligible purchase price of a qualifying Veritas guitar sale.
This credit may be applied toward an eligible Veritas custom guitar purchase.
Build credits are not cash, cannot be redeemed for cash, and are subject to Section 11.
C. True Artist Custom Build Discount — 15%
Active True Artists are eligible for 15% off an eligible Veritas custom guitar build.
The discount applies to qualifying purchases approved by Veritas and may not be combined with other discounts, promotions, or special pricing unless expressly authorized.
The discount is intended for the approved Artist's own eligible purchase and is not transferable or available for resale.
D. Additional Opportunities
Veritas may offer artist features, promotional collaborations, merchandise, product information, or other benefits at its discretion.
Such opportunities are not guaranteed compensation or permanent membership entitlements unless separately agreed in writing.
6. Referral Tracking and Attribution
Approved Artists may receive a unique referral link, referral code, or other approved tracking method through Refersion or another system designated by Veritas.
The standard referral attribution window is 60 days, subject to applicable tracking functionality, customer consent, technical limitations, and the eligibility requirements in this Agreement.
An eligible referral must be reasonably attributable to the Artist through an approved tracking method or otherwise verified and accepted by Veritas.
For eligible website purchases, customers should use the Artist's approved referral link or code as instructed.
For custom guitar purchases handled directly by Veritas, the Artist should identify the prospective customer to Veritas, and the customer should identify the referring Artist before the order is finalized.
Veritas may manually record and verify eligible custom-order referrals when ordinary website tracking is unavailable.
Referrals are not guaranteed to qualify solely because an Artist mentions a prospective customer.
Duplicate referrals, competing attribution claims, existing customer relationships, untracked purchases, and other disputed transactions may be reviewed using available records and the applicable attribution rules.
Veritas will administer attribution reasonably and in good faith.
Artists must not manipulate referral tracking, generate fraudulent transactions, or claim referrals that they did not genuinely produce.
7. Qualifying Guitar Purchases and Commission Calculation
Referral commissions are available only on qualifying Veritas guitar purchases.
The commission basis is the full eligible guitar purchase price, including any qualifying build-slot payment credited toward the final guitar price.
The same payment may not be counted more than once.
Taxes, shipping charges, refunded amounts, canceled purchases, chargebacks, and separately purchased nonqualifying products or services are excluded from the commission basis unless Veritas expressly provides otherwise.
Custom Guitar Build Slots
A Veritas Custom Guitar Build Slot is a separate purchase that reserves a position in the production queue.
The current standard build-slot price is $1,200, credited toward the final price of the associated guitar.
Purchasing a build slot alone does not constitute a completed qualifying guitar purchase and does not independently earn a referral commission.
If the customer subsequently completes and fully pays for the qualifying guitar purchase, the commission is calculated on the full eligible guitar purchase price, including the credited $1,200 build-slot amount.
Example
If a qualifying guitar has an eligible total purchase price of $5,000, including a previously purchased $1,200 build slot:
- The 5% cash commission would be $250.
- The 8% custom-build credit would be $400.
The $1,200 build-slot payment is included once in the $5,000 eligible total, not added again.
8. When Commissions Are Earned
A referral commission becomes earned only after all applicable conditions are satisfied:
1. The referral qualifies under this Agreement.
2. The qualifying guitar purchase has been completed.
3. Veritas has received the customer's full payment for the guitar.
4. The transaction has been verified and is not subject to cancellation, refund, chargeback, fraud, or other disqualifying circumstances.
5. The Artist has satisfied the applicable commission eligibility requirements.
For available-now guitars, the qualifying transaction generally becomes eligible after the sale is completed and full payment is received and verified.
For custom guitar orders, commissions become earned after the custom guitar purchase is completed and the final customer payment has been received and verified.
A deposit, build-slot purchase, partial payment, or unfinished custom guitar order does not by itself create an earned commission.
Veritas may record a referral or potential commission before these conditions are satisfied. Such a record is provisional and does not itself establish that a commission has been earned.
9. Cash Commission Payments
Cash referral commissions are paid through PayPal.
Artists selecting the cash reward option must provide a valid PayPal email address and any information reasonably necessary to process payments.
Veritas will process earned cash commissions within 90 days after completion of the qualifying guitar, provided the qualifying purchase has been fully paid, the commission has been verified, and payment information is complete, or sooner if required by applicable law.
If a commission is earned after the guitar's completion date, the payment period will run from the date the commission becomes earned, unless applicable law requires earlier payment.
Payments may be delayed only for legitimate verification, administrative, legal, or payment-processing reasons, subject to applicable law.
Artists are responsible for any applicable taxes on their compensation.
Veritas may correct documented tracking errors, duplicate transactions, refunds, or improper commission calculations in accordance with applicable law.
10. Selection and Administration of Rewards
Artists may select either:
- 5% cash commission; or
- 8% Veritas custom-build credit.
The selected reward method applies to eligible referrals according to the Artist's recorded preference and any applicable written approval.
A change in reward preference generally applies prospectively to referrals made after the change is recorded.
Veritas may approve an alternative arrangement in writing, provided the treatment of previously earned rewards is clearly documented.
Cash commissions and build credits are not automatically interchangeable at the same percentage.
An Artist may not receive both the 5% cash commission and the 8% build credit for the same qualifying referral.
11. Custom Build Credits and Redemption After Membership Ends
Custom-build credits are earned referral rewards designated for use toward eligible Veritas custom guitar purchases.
Credits are recorded and administered by Veritas and may be subject to reasonable verification procedures.
Build credits:
- May be used toward eligible custom guitar purchases.
- Have no cash redemption option.
- Cannot be sold or transferred without written approval.
- Cannot be exchanged for a cash commission after they have been earned and recorded as build credit.
- May not be combined with other offers unless Veritas approves the combination.
Credits During Active Membership
Earned and unused build credits remain available during active membership, subject to this Agreement and applicable law.
Credits After Membership Ends
When an Artist's membership expires, is not renewed, is voluntarily ended, or is terminated, the Artist will have 12 months from the effective date membership ends to apply previously earned, unused build credits toward an eligible Veritas custom guitar order.
The Artist must place the eligible order and apply the credits within the 12-month redemption period.
The guitar does not need to be completed, delivered, or fully paid for within that period solely to preserve the timely application of the credits.
Credits remaining unused after the 12-month redemption period will expire and be forfeited, to the extent permitted by applicable law.
An Artist may also voluntarily forfeit unused credits earlier by providing written authorization.
Expired or forfeited credits cannot be redeemed for cash.
Veritas will maintain reasonable records of earned credits, redemptions, expirations, and forfeitures.
Nothing in this section limits rights that cannot lawfully be waived or restricted.
12. Cancellations, Refunds, and Adjustments
No commission is earned on a canceled, fraudulent, refunded, or otherwise nonqualifying guitar purchase.
If a transaction is partially refunded or adjusted before a commission becomes earned, the commission basis may be adjusted accordingly.
If a transaction is refunded, reversed, or charged back after a commission has been paid or credit has been issued, Veritas may seek a lawful adjustment or recovery of compensation attributable to the reversed transaction.
Veritas will not withhold otherwise earned commissions arbitrarily.
Any adjustments will be documented and handled in accordance with applicable law.
13. Membership Term and Annual Renewal
True Artist membership is subject to annual review and renewal.
Membership is not guaranteed to continue indefinitely.
October 2026 Relaunch
Existing True Artists invited to participate in the October 2026 Program relaunch will be given a 21-day renewal window to review and accept the updated terms and confirm their participation.
Artists who do not renew within the applicable period may be moved to inactive status.
Standard Annual Renewal
The Program will not require an additional annual renewal in January 2027 for Artists participating in the October 2026 relaunch.
Beginning in 2028, the standard annual renewal period will be January 1 through January 21, unless Veritas announces an updated schedule.
Artists who do not complete the required renewal process may become inactive or lose active membership privileges.
Veritas may consider late renewal requests or reapplications based on current Program eligibility.
Nonrenewal or ordinary membership expiration does not, by itself, constitute termination for a Program violation.
Previously earned commissions and build credits remain subject to the applicable provisions of this Agreement.
14. Suspension, Termination, and Pending Commissions
Veritas may suspend or terminate membership for legitimate Program reasons, including material violations of this Agreement, fraud, intentional misrepresentation, misuse of referral tracking, unlawful conduct related to Program participation, or other material misconduct.
Except where immediate action is reasonably warranted because of fraud, serious misconduct, or an irremediable violation, Veritas will provide written notice describing the material violation and a reasonable opportunity to correct it.
Termination for Material Program Violations
For referrals first made under this Agreement, if Veritas terminates an Artist for a material Program violation before the referred qualifying guitar purchase has been completed and fully paid for, the Artist will no longer be eligible to earn a commission on that pending transaction, to the extent permitted by applicable law.
A provisional referral record or pending commission estimate does not create an earned commission.
Previously Earned Commissions
Commissions already earned before the effective date of termination remain payable in accordance with the applicable payment terms and governing law.
Termination does not automatically eliminate legally protected payment obligations.
Ordinary Expiration, Nonrenewal, and Resignation
Ordinary membership expiration, nonrenewal, or voluntary resignation is not automatically treated as termination for a material Program violation.
Eligibility for referrals recorded before ordinary membership expiration, nonrenewal, or resignation will continue to be evaluated under the terms applicable when those referrals were made, including the conditions for earning a commission.
Membership ending does not create eligibility for new referrals after the effective end date.
Build Credits
Previously earned, unused build credits are governed by Section 11, including the 12-month redemption period after membership ends.
Prior Agreements
This Agreement does not retroactively cancel commissions or other rights earned under earlier agreements without legally effective consent.
Veritas will administer termination and commission eligibility in good faith and in accordance with applicable law.
15. Advertising, Endorsements, and Required Disclosures
Artists must comply with applicable advertising, consumer-protection, and endorsement laws, including Federal Trade Commission requirements.
When posting endorsements or recommendations involving Veritas, Artists must clearly disclose material relationships with the Company, including eligibility for commissions, discounts, complimentary products, or other material benefits.
Disclosures must be clear, conspicuous, and appropriate to the content and platform.
Artists must not make false, misleading, unsupported, or deceptive statements about Veritas products, availability, pricing, features, or performance.
Artists must not misrepresent themselves as employees or authorized representatives of Veritas.
Veritas may provide additional promotional guidance or request correction or removal of noncompliant Program-related content.
16. Brand Representation and Product Modifications
Artists are encouraged to present Veritas guitars authentically and accurately.
Personal modifications to an Artist's guitar are permitted, subject to applicable warranties and other product terms.
However, Artists must not knowingly represent a materially modified guitar as an unmodified, factory-original Veritas product.
When modifications materially affect the product being promoted, Artists should accurately disclose those modifications.
Artists must not imply that unauthorized third-party components, accessories, or modifications are officially supplied or endorsed by Veritas.
17. Intellectual Property and Artist Content
Veritas retains ownership of its names, logos, trademarks, designs, promotional materials, and other Company intellectual property.
Artists receive a limited, nonexclusive, revocable permission to use approved Veritas branding solely for authorized Program participation.
Artists retain ownership of their original music, photography, videos, and other independently created content, subject to any third-party rights.
Artists may voluntarily submit or identify content for potential Veritas features or reposting.
By expressly authorizing Veritas to feature or repost particular content, the Artist grants Veritas a nonexclusive, royalty-free license to reproduce, display, distribute, and share that authorized content for the agreed promotional purposes, subject to applicable law and any stated limitations.
Artists must have the rights necessary to grant such permission.
Authorization to repost Artist content does not automatically include rights to third-party music, recordings, images, performances, or other protected material.
Veritas may request additional permissions or decline to use content where rights are unclear.
Neither party may knowingly infringe the intellectual property rights of others.
18. Confidentiality and Information Protection
Artists may receive nonpublic information relating to Veritas products, business plans, customers, pricing, or promotional activities.
Artists must protect confidential information and must not disclose it without authorization, except where disclosure is required by law.
This obligation does not apply to information that is already public through no breach of this Agreement, independently developed, or lawfully obtained from another source without confidentiality restrictions.
Artists must use customer information only for legitimate, authorized referral activities and comply with applicable privacy and data-protection requirements.
Veritas will process Artist information in accordance with its applicable privacy policies and legal obligations.
19. Prohibited Activities
Artists may not:
- Create fraudulent, fabricated, or self-generated qualifying referrals through deceptive means.
- Manipulate tracking links, codes, or attribution systems.
- Misrepresent product features, prices, discounts, or availability.
- Engage in unlawful spam, deceptive advertising, or unauthorized use of customer information.
- Impersonate Veritas employees or make unauthorized commitments.
- Use Veritas trademarks in misleading or unauthorized advertising.
- Make undisclosed paid endorsements where disclosure is required.
- Engage in conduct that materially damages the integrity of the Program through fraud or other serious misconduct.
Veritas may investigate suspected violations and take proportionate action consistent with this Agreement and applicable law.
20. Program Changes
Veritas may update Program policies, benefits, procedures, and eligibility requirements for legitimate business reasons.
Material changes affecting compensation, earned credits, termination rights, or other significant obligations will be communicated to affected Artists and will apply prospectively unless otherwise lawfully agreed.
Continued participation after valid notice and legally effective acceptance may constitute agreement to updated terms where permitted by applicable law.
Changes will not retroactively eliminate previously earned compensation or other protected rights.
21. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, or consequential damages arising from participation in the Program, except where such limitations are prohibited by law.
Nothing in this Agreement excludes liability that cannot legally be excluded, including liability arising from fraud, willful misconduct, or other nonwaivable obligations.
Nothing in this section eliminates Veritas's obligation to pay lawfully earned commissions or honor other legally enforceable payment obligations.
22. Governing Law and General Provisions
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.
If any provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
This Agreement, together with any expressly incorporated written Program policies or individual agreements, constitutes the applicable understanding regarding True Artist Program participation.
In the event of a conflict between this Agreement and a general promotional summary, this Agreement controls, subject to applicable law and any separately executed written agreement.
